JGS, SMC, and MER

Whichever way you look at it, this news does not bode well on the short-term price of MER


I would say that MER will be saddled inside 250 - 260 range in short-term. Why?
  • Gokongwei will not buy at current market price without any discount. 10% off is a reasonable expectation for JGS or the deal is off. Now, who's more desperate, the buyer or the seller? 
    • RSA seems desperate to divest, so SMC will have some money to pay off short-term debts. (Important to read this). I can picture SMC's Finance trying to find ways to make a better picture off its current balance sheet. 
    • JGS's own interest probably lies only with Gokongwei's current thrust to keep holdings that pay-off consistent dividends. He will not hope to get control of MER today or on long-term. MVP's hold in Meralco is cemented at this point.He wont hope to get immediate synergy from adding MER inside JGS. 
    • So, it's SMC who's more interested to sell at this point. 
I unloaded all my MER shares at an average 8% loss.

Unless a player will jack-up the price of MER back to 300 PhP level before applying say a 10% discount to JGS's buying, this whole deal is not good for MER. But who has the incentive to do jack-up price? 

In any case, any MER price down will only be temporary. The merits of MER as a company--which has solid revenue growth and even planning to establish power plants of its own--will prevail in the long run.

Clap! Clap! Clap! CPG

Maraming salamat CPG, maraming salamat Robbie da Pogi, maraming salamat Paris Hilton at sa iyong dedeng masyadong pinisa para magka-cleavage.


Tama na sa akon ang diyes porsyentong kita na naani pagkatapos lamang ng tatlong araw. Bakit hindi ko hinintay ma-abot ang rurok ng luwalhati bago ibenta? Hindi ko naman kasi masusubaybayan ang merkado; kailangang kumayod sa umaga. Hindi rin pangmatagalang hawak para sa kin sila Robbie; hindi ko arok ang kanyang Museo at di ko alam kung bakit pinapayagan at iniispoiled sya ng kanyang tatay sa mga kaululang pagkakagastusan.  Hindi rin tayo nag-aambisyon na makaganansya nang katulad ng kay SUN. Hindi rin ako fan ng pilit na cleavage. Atsaka, hindi rin ako kumbinsido pa na nasa "confirmed uptrend" na ang merkado, ika nga nila William O'Neill (bagamat isa ako syemps sa nananalangin na sana simula na nga ng pagsipa pataas ng indeks).

Ngayon, nag-post ako ng buy sa AC at BEL. Sana mabiyayayaan. Sisilip din ako sa galaw ni AP at JGS bukas nang alas-diyes. Hindi gano pabongga at napapansin ang dalwang ito, pero mga solido naman na kumpanya. Ang AP, di pa gano tumaas, malamang may sipa maski +5% hanggang biyernes.

Ang JGS, natalo lang sa forex kaya mababa ang ganansyang inulat. Pero kung wala ang pagtaas ng dolyares laban sa piso, buung-buo ang kita ng mga negosyo ng conglomerate na ito. Maganda pa ang kumbinasyon ng bisnes ng mga Gokongwei. May sinerhiya ang real estate, retail, food manufacturing, plastics processing, etc. Hindi katulad ng kay RSA na kalat-kalat, buhaghag. walang core, at tirada lang nang tirada hanggang sa malugi (Wi-tribe). Di pa mahuhusay ang mga middle managers ng SMC. Magagaling lang mag-follow-up at puros sigaw (pero walang diskarte).

Dear The Mechanic,  

Either show your genuine concern for the 'investing public," as youve indicated to the press last week, or take your conglomerate private as you've said is your choice (or threat?) many times in the past. Go back to the bourse after you've built a real, focused strategy, and have improved the crop of your top and middle managers. Most of them screams loud, but have no chutzpah and follow-through. They cant just copy your brashness, without substance from within themselves. All your good ones hark and jump to JFC, P&G, and Unilever the moment they get the chance. 

You have so much work to do to be at par with your should-be peers. AEV seems better managed. AGI, more so. I wont even throw AC side-by-side with you. Do not be all of brute stance and talk, RSA.

p.s. if you intend to take the company private, offer a good price to small-time investors still holding your stock and stood by you. Do not screw them as youve done in the past.

Market Skim Through: July 22

MER is still negative contrary to expectations that it will be green today, given its supposed 'bargain' price at present. It was a a mistake for me to reenter MER at 319 then 300, ignoring the premonition that someone was bringing down the price, perhaps with the intention of lowering SMC's asking price further. Or make it appear that the discount SMC is offering is actually slimmer. (300 vs 270 = 10% looks less desperate for the seller than 330 vs 270 = 20% )

In any case, I added more and intend to pour cash if it nears 270. MER still is a minimum-4%-dividend-paying company.

SMC continued to go down, perhaps deservedly so. TOP 6 of the horror roll today. I think price will threaten to go below-80 again.

On averaging down (part 1) and San Miguel

Against the advise of many traders, I still practice cost averaging, partly because I find it as a way to minimize risks and be conservative on my bets. Chartists will be quick say that the method doesn't work and in fact risky, but I have good averaging up and/or down winning than losing moves. I'll write a few of my learnings on this method. Let's start with this first one...

AVERAGING DOWN LEARNING # 1

As in all securities that you should enter, one should cost-average down only if you believe in the company's fundamentals and management, not because one just believes in the method of averaging down. On a downtrend, averaging down can be purely catching falling knives.

And if the company is like San Miguel with brash Ramon Ang just diversifying like crazy and borrowing money and plowing along paying his managers high, while revenue and income are stagnant or decreasig, no method of cost-averaging can save the transaction.

This was my recent mistake.

San Miguel was among the last of the conglomerates to show strength, and among the cheapest (lowest in P/E), during PSEi's bull run from March to May, and I earned from its jump from ~113 to 123ish in near term, selling all shares before the downtrend to transfer funds to another one. I was aware of the huge debts this company has the inclination to rack up, so for sure SMC is not the company that should be for long term (it also doesn't pay much in dividends).

When the downtrend started, I cant believe a blue chip can go down 5% in one day without bouncing, more so in the backdrop of our scintillating gdp, so I reentered at point 1 below. Then the downtrend continued steeply, so i added in 2 at half the tranche of the first one . But then the downtrend continued steeply, so I added again in 3, a bit less than 2, hoping for a bounce to break even.


After a few days, traders are surprised to see that SMC is the lone conglomerate showing negative 30% year-to-date, amidst positive 30 % of its competitors! If this is not a slap in the face of SMC's board, I don't know what is. But RSA and Danding have nothing to say in their ASM, except something like "our fundamentals should speak for itself and help our shares up..." Goddamn, what are your 'good fundamentals,' SMC, compared to AEV, AC, et al? Decreasing income and increasing debts?

By mid June, SMC is obviously weak and a clear laggard vis-a-vis its peers. There's no hope in gaining again in near term with SMC. Funds should have better use elsewhere.

As one last gasp, I observed that SMC's price seems to be bouncing in range, so I added a last position in # 4, which brought me to a final average price at 101, and then closely observed price behavior closely the following days and decided to sell at 92. With the gain in the bull of March - April, I still came out a loser by around 8 K with SMC. If i did not average down and stopped at 1, I would have lost only ~2.5 K.

This averaging down  was a mistake obviously 1) for fighting the clear downtrend (even falsely hoping for the short term bounce), and 2) betting on SMC.

# 2 is obviously the bigger mistake. I'll write more on SMC later.

But there's a coda to this story... In a few days after I sold it, SMC tumbled down further and harder on the rumor of a default, spread by IMF no less and Tiglao (ex press secretary which must be hunted now by Danding).
I was still thankful bottomline. And I do not intend to come back to this supposed Philippine institution unless there's management change or a staggering positive milestone like the promised turnaround of PAL materializes, or the bragged new airport really happens.
